This Terms and Conditions (the "Terms") reflects a binding contract between Darwiin Pte. Ltd. ("DARWIIN", "The Grid", "https://sgpgrid.com/", "Website", "us", "we", or "our") and you ("User", "Visitor", "you", "your"). This Terms sets forth the general terms and conditions of your access and use of this Website and any of its products or services (collectively, "Services"). Please carefully read these Terms as it stipulates your access to and use of this Website. If you do not agree to any section of these Terms, kindly stop using or accessing The Grid. You are deemed to have read, understood, agreed and accepted these Terms when you use and/or access this Website and/or our Services. When you access and use this Website on behalf of another person (e.g. a company), you confirm that you are authorised to, and do in fact, agree to these Terms on that person's behalf and that, by agreeing to these Terms on that person's behalf, that person is bound by these Terms.

DARWIIN may change these Terms from time to time. Unless stated otherwise, any change takes effect when the updated Terms are posted on this Website. The Last Updated date above reflects the date of the most recent changes. If we make material changes, we will provide reasonable notice (for example, by email to registered users or by displaying a prominent notice on our Website). 1. User Registration

To access certain features of this Website, you may be required to register. Registration requires a valid business email and password (the "User ID") that allows you access to this Website. You agree to:

1. keep your password User ID secure and confidential;

2. be responsible for all activities carried out under your account, whether or not authorised by you; and

DARWIIN will take reasonable measures to protect the security of your account, but shall not be liable for any loss or damage arising from your failure to comply with these obligations.

1. not permit any other person to use your User ID, including not disclosing or providing it to any other person;

2. where you access this Website on behalf of a company or an entity, only permit authorized persons to use your User ID; and

3. immediately notify us if you become aware of any unauthorised disclosure or use of your User ID by sending an email to support@gridapp.io

Unless otherwise indicated, this Website is the proprietary property of DARWIIN. All source code, databases, functionality, software, website designs, confidential information and copyrighted materials on this Website (collectively, the "Content") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property laws of Singapore and applicable international laws.

We grant to you a non-exclusive, non-transferable, non-sublicensable, revocable and limited licence to access our Website and the Content in accordance with these Terms. The Content is provided on an "AS IS" basis and may be used for your internal business purposes in connection with our Services.

Except as expressly provided in these Terms, you must not:

1. copy, reproduce, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, or otherwise exploit any Content for any commercial purpose without our prior written consent;

1. you confirm that you are authorised to provide such Submissions and that they are not false, misleading, or infringing;

2. you confirm that any Third-Party Apps you use shall not transmit viruses, malware, or other harmful code;

3. you grant DARWIIN a non-exclusive, royalty-free, worldwide licence to host, use, reproduce, and display such Submissions solely for the purpose of operating, providing, and improving the Services which will continue even if you stop using the Website or Services;

4. you acknowledge and consent that we may collect, use, and disclose your name and business contact information submitted with any Submissions for the purpose of providing and improving the Services; and

5. to the extent permitted by law, you waive any moral rights or equivalent rights in such Submissions.

DARWIIN does not control and is not responsible for the content of such third-party websites, and the inclusion of any link does not imply endorsement or association with the operators of those websites. Please note that unauthorised access to computer materials is an offence under section 3 of the Computer Misuse Act 1993 (Singapore). The use of automated systems or software to extract data from this Website (e.g. scraping and crawling) to set-up a competing database or to offer similar goods and/or services is strictly prohibited.

6. Security of Website and Users

You are responsible for maintaining the security of your account and credentials, and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. DARWIIN will take all reasonable technical and organisational measures to help keep this Website secure, but you acknowledge that the internet is never 100% secure.

We do not warrant that the Website or Services will be error free, uninterrupted, secure, or free from viruses or other harmful components.

Without prejudice to the generality of the foregoing and to the maximum extent permitted by law, DARWIIN and our affiliates shall not be liable for any indirect, consequential, punitive or incidental, or any special loss or damage (including loss of profits, loss of use, and loss of production) however caused (and whether arising out of contract, strict liability, or tort or under any legal or equitable theory of liability), arising out of or in connection with:

1. this Website being unavailable (in whole or part) or performing slowly;

1. our liability shall only apply to direct losses actually and reasonably incurred by you, and only to the extent such losses are proven to have resulted directly from our gross negligence, fraud, or wilful misconduct; and

2. the total aggregate liability of DARWIIN (including our affiliates, officers, and employees) shall not exceed the total fees paid by you in the twelve (12) months preceding the claim, and in no case more than SGD 1,000. In the event that you are using the Services without paying fees (e.g. a free plan), our liability shall be limited to SGD 100.

Nothing in this clause shall limit or exclude any liability that cannot be limited or excluded under applicable law.

8. Indemnity

You understand and agree that you are personally responsible for the use of this Website and Services. To the maximum extent permitted by law, you agree to indemnify, defend and hold harmless DARWIIN, our affiliates and each of their respective officers, directors, employees, representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

2. your misuse of the Website or Services;

3. any Submissions or content you provide that infringe or violate any rights of a third party (including intellectual property, privacy, or confidentiality rights); or

4. unauthorised access or use of the Website through your User ID.

This indemnity shall survive any suspension, termination, expiry, or your cessation of use of the Website or Services.

9. Privacy Policy

Your privacy is important to us. Your credentials, registration data, and any other personal information that you provide to us through this Website, as well as certain other personal information about you, is subject to DARWIIN's Privacy Policy. Your acceptance of these Terms and use of the Website constitutes your acceptance and agreement to our collection, use and/or disclosure of any of your Personal Data in accordance with our Privacy Policy, including your name, business email, company name and designation.

10. Suspension and Termination of Account

Providing false contact information of any kind may result in the termination of your account.

We may suspend, disable, or delete your account (or any part thereof) if we determine that you have violated any provision of these Terms or that your access and use would tend to damage our reputation and goodwill. If we delete your account for the foregoing reasons, you agree not to access, use or attempt to access or use our Services, whether under any other name and/or through any other User. We may block your email address and Internet protocol address to prevent further registration. DARWIIN shall not be liable for any damages, losses or expenses howsoever caused by or arising out of suspension or termination of the Services or any use of this Website.

11. General

Governing Law: These Terms shall be governed by and defined following the laws of Singapore and parties irrevocably agree to submit to the exclusive jurisdiction of the courts of Singapore.

Severability and Invalidity: If any of these Terms are determined to be illegal, unenforceable, or invalid in whole or in part for any reason, such illegal unenforceable, or invalid provision shall not affect the legality, enforceability, or validity of the remainder of these Terms. If any provision or part thereof of these Terms is stricken in accordance with the provision of this section, then the stricken provision shall be replaced, to the maximum extent possible, with a legal, enforceable, and valid provision that is as similar in tenor to the stricken provision as is legally possible.

Dispute Resolution: In the event of a dispute arising out of or relating to these Terms, including any question regarding its breach, existence, validity or termination, and including any non-contractual claims (whether in tort or otherwise) (the "Dispute"):

1. Both parties shall endeavour to reach a resolution of the Dispute satisfactory to both parties. Either party may commence such process by requesting a meeting with the other party, which may take place in person, or remotely. Each party shall nominate a representative who shall meet to try to resolve the Dispute.

2. If the Dispute is not resolved within fifteen (15) business days from the meeting between the parties' representatives (or such longer period as may be agreed between the parties), then you agree to irrevocably submit the Dispute to the exclusive jurisdiction of the courts of the Republic of Singapore. You further agree that DARWIIN shall have the right to enforce any judgment obtained in any court of Singapore in the jurisdiction where you reside and/or in the country of your principal place of business and you hereby waive any objection to any jurisdiction exercised by the courts of Singapore.
